WOWOOOCART SELLER TERMS & CONDITIONS
Effective Date: 2 September 2026
These Seller Terms & Conditions (“Seller Terms”) govern the registration, approval and use of a seller account on WOWOOOCART, an Indian-owned multi-vendor e-commerce marketplace operated by SHREE SHYAMA SHYAM INDUSTRIES INDIA (“WOWOOOCART”, “we”, “us” or “our”).
By registering as a seller, listing products, accepting orders or otherwise using the WOWOOOCART seller platform, the seller (“Seller”, “you” or “your”) agrees to these Seller Terms and all applicable laws and WOWOOOCART policies.
1. About WOWOOOCART
WOWOOOCART is an online marketplace that enables independent sellers to offer products to customers through its platform. WOWOOOCART may also sell products directly under its own business operations.
2. Acceptance of Seller Terms
Registration or continued use of a Seller account constitutes acceptance of these Seller Terms, as amended from time to time. If you do not agree, you must discontinue selling through WOWOOOCART.
3. Seller Eligibility
The Seller must be legally capable of carrying on the relevant business and must provide accurate identity, business, tax, banking and contact information as required by WOWOOOCART.
WOWOOOCART may refuse, suspend or cancel registration where eligibility, verification or compliance requirements are not satisfied.
4. Seller Registration
The Seller must provide complete and accurate information during registration and must promptly update information whenever it changes.
The Seller shall not create duplicate, misleading or fraudulent accounts.
5. KYC and Verification
WOWOOOCART may require PAN, GSTIN, bank details, business registration details, address proof, identity documents, product-related licences or other documents reasonably required for verification or legal compliance.
Failure to provide valid documents may result in listing restrictions, settlement hold, suspension or termination.
6. Seller Account Security
The Seller is responsible for maintaining the confidentiality of login credentials and for all activities conducted through the Seller account.
Any suspected unauthorized access must be reported to WOWOOOCART immediately.
7. Independent Seller Status
The Seller operates as an independent business and is not an employee, agent, partner or franchisee of WOWOOOCART unless expressly agreed in writing.
The Seller is responsible for its own business operations, employees, taxes, licences, inventory and legal obligations.
8. Seller Information and Disclosures
The Seller shall provide all information required for lawful sale and consumer disclosure, including, where applicable:
- Legal/business name;
- Principal business address;
- Contact details;
- PAN and GSTIN, where applicable;
- Product manufacturer/importer/brand information;
- Country of origin;
- Product specifications and characteristics;
- Applicable warranties or guarantees;
- Applicable licences, registrations and certifications; and
- Consumer grievance contact information where required by law.
9. Product Listing Responsibility
The Seller is solely responsible for ensuring that every product listing is accurate, complete, lawful and not misleading.
WOWOOOCART may edit, restrict, reject, deactivate or remove listings that violate law, these Seller Terms or marketplace standards.
10. Product Information and Advertising
Product titles, descriptions, images, specifications, prices, quantities, warranties, expiry dates, usage instructions and advertising claims must accurately represent the actual product.
The Seller shall not make false, exaggerated, deceptive or unsupported claims.
11. Product Authenticity
All products must be genuine, legally sourced and fit for sale.
The Seller must not list counterfeit, duplicate, pirated, stolen, unlawfully imported or otherwise unauthorized products.
12. Counterfeit, Fake and Infringing Products
The Seller shall not sell products that infringe copyright, trademark, patent, design, trade dress or other intellectual-property rights.
WOWOOOCART may immediately remove suspected infringing products and may suspend or terminate the responsible Seller, subject to applicable law and verification.
13. Prohibited and Restricted Products
The Seller shall not list or sell products prohibited by law or by WOWOOOCART.
Restricted products may only be listed where the Seller has obtained all required licences, permissions, certifications and approvals and WOWOOOCART permits such listing.
14. Regulatory Compliance
The Seller is responsible for compliance with all laws applicable to its products and business, including, where applicable, consumer protection, taxation, GST, Legal Metrology, product safety, BIS requirements, food/drug/cosmetic regulations, environmental requirements, intellectual-property laws and applicable sector-specific regulations.
15. Seller Taxes
The Seller is responsible for its own GST, income tax, TDS/TCS implications and other statutory obligations, as applicable.
WOWOOOCART may collect, deduct, withhold or report amounts where required by law.
16. Seller Invoicing
The Seller shall issue legally compliant invoices or other required documents for its sales and shall provide accurate tax information.
Where legally required, invoices must contain applicable GST and other statutory details.
17. Product Pricing
The Seller shall maintain accurate and lawful product prices.
The Seller must not manipulate prices, create misleading discounts, display false “original” prices or otherwise engage in deceptive pricing practices.
18. Inventory Management
The Seller must maintain sufficient and accurate inventory information.
Products that are unavailable must be marked unavailable or removed promptly to avoid accepting orders that cannot be fulfilled.
19. Order Acceptance
Orders received through WOWOOOCART must be processed within the applicable operational timeline.
WOWOOOCART may cancel or restrict an order where required for fraud prevention, inventory issues, legal compliance, system errors or other legitimate reasons.
20. Seller Dispatch Requirement
The Seller shall prepare accepted orders for dispatch within the timeline specified by WOWOOOCART or displayed in the Seller Dashboard/order details, generally within 24 hours, unless a different timeline has been approved or displayed for a particular product.
Repeated delays may affect Seller performance and account status.
21. Packaging and Pickup Readiness
The Seller must pack products securely and appropriately for the nature of the goods and applicable courier requirements.
Products must be properly labelled and ready for pickup within the applicable dispatch timeline.
The Seller may be responsible for losses or direct costs caused by inadequate packaging or incorrect shipping information attributable to the Seller.
22. Wrong Product, Variant or Quantity
If the Seller dispatches a wrong product, variant, size, colour, model or quantity, the Seller shall cooperate in resolving the matter and may be responsible for applicable direct return, reverse-logistics, replacement and related costs attributable to the Seller, subject to applicable law.
23. Damaged Products and Product Defects
The Seller is responsible for ensuring that products are properly packed, safe, genuine and free from defects attributable to the Seller.
Where a product is defective, deficient, spurious, materially different from its listing or otherwise requires a legally applicable remedy, the Seller shall cooperate with WOWOOOCART in providing the appropriate resolution.
24. Customer Returns and Refunds
Customer returns, replacements and refunds shall be handled according to applicable law, the product listing, the WOWOOOCART Returns, Replacement & Refund Policy and the circumstances of the order.
Nothing in these Seller Terms shall remove any consumer right that cannot lawfully be excluded.
25. Reverse Logistics
Where a return or reverse shipment is required, WOWOOOCART may arrange logistics through its designated logistics partners.
Where the return is attributable to Seller fault, applicable direct reverse-logistics or related costs may be recovered from the Seller.
Where the return is not attributable to the Seller, treatment of logistics costs shall be determined according to the applicable WOWOOOCART commercial terms and the circumstances of the order.
26. RTO and Failed Delivery
Where an order becomes Return-to-Origin (“RTO”) or delivery fails, the matter shall be handled according to the reason for failure.
If the failure is attributable to Seller error, including wrong product, incorrect address information supplied by the Seller, improper packaging or failure to meet dispatch requirements, applicable direct costs may be recovered from the Seller.
Where the Seller correctly fulfils the order and the failure is attributable to customer refusal/non-receipt or courier circumstances, the applicable cost treatment may be determined by WOWOOOCART based on the verified circumstances and applicable commercial terms.
Courier-related claims may be processed through the applicable logistics partner.
27. Seller-Initiated Cancellation
The Seller should not cancel confirmed orders except for genuine and unavoidable reasons.
Repeated or unjustified seller cancellations may affect Seller performance, visibility, account status and settlement, and may result in recovery of applicable direct costs where permitted by the applicable commercial terms and law.
28. Late Dispatch and Poor Fulfilment
Repeated late dispatch, non-dispatch, inaccurate inventory, excessive cancellations, incorrect products, defective products or other fulfilment failures may result in corrective action, reduced visibility, temporary restrictions, suspension or termination.
WOWOOOCART may recover applicable direct costs or expressly disclosed contractual service charges attributable to Seller failures, subject to applicable law.
29. Seller Fees and Commercial Charges
WOWOOOCART currently offers:
- Seller Registration Fee: ₹0
- Monthly Seller Fee: ₹0
- Product Listing Fee: ₹0
For completed or otherwise eligible sales, WOWOOOCART may charge a platform commission as applicable to the relevant product/category/order.
Applicable charges may include:
- WOWOOOCART Platform Commission: applicable rate + applicable GST
- Payment Gateway/Processing Charges: additional + applicable GST, where applicable
- Logistics/Shipping Charges: additional + applicable GST, where applicable
- Other expressly disclosed commercial/service charges, where applicable.
Commission rates may vary by product category, sub-category, product, selling price, promotional arrangement, market conditions, commercial viability or other factors.
The applicable rate and deductions may be displayed in the Seller Dashboard, order/settlement information, listing interface or official Seller communication. WOWOOOCART is not required to publish a complete public category-wise commission table.
30. Seller Settlement and Payout
Seller settlement shall be calculated after applicable commission, taxes, payment-processing charges, logistics charges, refunds, cancellations, returns, RTO adjustments, chargebacks, reversals, statutory deductions and other applicable adjustments.
The applicable settlement cycle may be communicated through the Seller Dashboard or Seller communication.
31. Settlement Hold, Reserve and Risk Protection
WOWOOOCART may temporarily hold or reserve amounts where reasonably necessary for pending returns, refunds, chargebacks, suspected fraud, unresolved customer disputes, regulatory requirements, verification issues, negative balances or other legitimate financial risks.
Such action may continue until the relevant matter is resolved or adequately secured.
32. Adjustment and Set-Off
WOWOOOCART may adjust amounts payable to the Seller against amounts lawfully recoverable from the Seller, including refunds, returns, RTO costs attributable to Seller fault, chargebacks, incorrect settlements, statutory deductions, customer claims attributable to Seller conduct and other applicable amounts.
If the Seller has a negative balance, WOWOOOCART may recover the amount from future settlements or otherwise seek payment from the Seller.
33. Customer Data and Privacy
Customer information made available to the Seller is provided only for legitimate order fulfilment, delivery, support and other authorized purposes.
The Seller shall protect customer information and shall not sell, misuse, copy, disclose or use such information for unauthorized marketing or unrelated purposes.
The Seller shall comply with applicable data-protection and privacy laws and WOWOOOCART’s Privacy Policy and instructions.
34. Customer Communication
Seller communication with customers must be professional, truthful and limited to legitimate transaction-related purposes.
The Seller shall not harass, threaten, mislead or improperly influence customers.
35. Off-Platform Transactions
The Seller shall not use customer information obtained through WOWOOOCART to divert customers to unauthorized off-platform transactions or to bypass WOWOOOCART’s commercial arrangements.
The Seller shall not encourage customers to cancel marketplace orders solely to complete the transaction outside WOWOOOCART.
36. Intellectual Property
The Seller warrants that it has the necessary rights to use all product photographs, descriptions, logos, trademarks, videos and other content uploaded to WOWOOOCART.
The Seller shall be responsible for claims arising from unauthorized content supplied by the Seller, subject to applicable law.
37. Seller Content Licence
The Seller grants WOWOOOCART a non-exclusive, royalty-free, worldwide licence, for the duration reasonably necessary to operate and promote the marketplace, to host, reproduce, display, format and use Seller-provided product content for listing, search, customer information, marketing and marketplace operations.
The Seller retains ownership of its intellectual property rights.
38. Reviews and Ratings
The Seller shall not create, purchase, manipulate or arrange fake reviews or ratings.
The Seller shall not threaten, bribe or improperly influence customers to provide positive or negative reviews.
39. Seller Marketing and Promotions
The Seller may participate in promotions offered by WOWOOOCART subject to the applicable commercial terms.
The Seller shall ensure that all promotional claims and marketing materials are accurate and lawful.
40. Ranking, Visibility and Seller Performance
WOWOOOCART may determine product and seller visibility using legitimate commercial, operational, customer-experience, quality, availability, fulfilment, pricing, relevance, performance and other marketplace factors.
WOWOOOCART may apply differentiated treatment between sellers or products where permitted by applicable law and disclosed marketplace practices.
No Seller is guaranteed any minimum traffic, ranking, orders or sales.
41. Customer Complaints and Cooperation
The Seller shall promptly cooperate with WOWOOOCART in resolving customer complaints, disputes, returns, replacements, warranty matters, product-safety concerns and regulatory enquiries.
The Seller shall provide documents and explanations reasonably required for investigation.
42. Seller Grievance Contact
Where required by law, the Seller shall appoint and maintain an appropriate consumer grievance officer/contact and provide accurate details to WOWOOOCART for display or communication to customers.
The Seller shall acknowledge and address consumer complaints within the timeframes required by applicable law.
43. Product Safety, Recall and Regulatory Action
If a product is unsafe, defective, recalled, prohibited or becomes subject to regulatory action, the Seller must immediately inform WOWOOOCART and provide all relevant information.
WOWOOOCART may suspend listings, stop sales, notify affected parties or take other reasonable measures where required to protect customers or comply with law.
44. Legal Notices and Investigations
The Seller shall cooperate with lawful notices, governmental requests, regulatory enquiries, court orders, law-enforcement requests and investigations relating to products or transactions conducted through WOWOOOCART.
45. Indemnification
To the extent permitted by applicable law, the Seller shall indemnify and hold WOWOOOCART, its owners, officers, employees and service providers harmless from losses, claims, liabilities, costs and reasonable expenses arising from the Seller’s unlawful conduct, product-related violations, counterfeit/infringing products, misleading information, breach of these Seller Terms, tax violations or other acts/omissions attributable to the Seller.
46. Limitation of WOWOOOCART Responsibility
WOWOOOCART provides a marketplace platform and related services and does not guarantee that any Seller will receive a particular number or value of orders.
Nothing in these Seller Terms excludes or limits any liability or obligation that cannot lawfully be excluded or limited.
Where WOWOOOCART is legally responsible for a matter, its responsibility shall be determined according to applicable law.
47. WOWOOOCART Own Products
WOWOOOCART may independently sell products through the same platform.
Products sold directly by WOWOOOCART may be subject to separate commercial, fulfilment and customer-service arrangements and shall not automatically be treated as third-party Seller products.
48. Suspension of Seller Account
WOWOOOCART may temporarily restrict or suspend a Seller account or listings where there is reasonable concern regarding fraud, counterfeit products, legal violations, customer safety, non-compliance, repeated fulfilment failures, payment risk, inaccurate information, policy violations or other legitimate grounds.
Where appropriate, WOWOOOCART may request clarification or corrective action.
49. Termination of Seller Account
WOWOOOCART may terminate a Seller account where the Seller materially breaches these Seller Terms, engages in fraud or unlawful activity, repeatedly violates marketplace standards, supplies prohibited/counterfeit products, misuses customer data, attempts to circumvent marketplace systems or otherwise creates significant legal, financial, operational or customer risk.
Termination does not automatically extinguish legitimate outstanding rights, obligations, refunds, claims or settlement adjustments.
50. Seller-Initiated Closure
A Seller may request closure of its account subject to completion of pending orders, returns, refunds, customer complaints, financial settlements and other outstanding obligations.
WOWOOOCART may retain necessary records for legal, accounting, fraud-prevention and dispute-resolution purposes.
51. Records and Audit
The Seller shall maintain accurate business, product, transaction, tax and compliance records as required by law.
WOWOOOCART may request supporting documents or conduct reasonable verification/audit relating to Seller activity on the platform.
52. Confidentiality
The Seller shall maintain confidentiality of non-public commercial, technical, financial, customer, operational and business information received through WOWOOOCART, except where disclosure is legally required or authorized.
53. Platform and System Misuse
The Seller shall not:
- Attempt unauthorized access;
- Introduce malicious code;
- Scrape or misuse platform data;
- Manipulate rankings or orders;
- Use automated systems in an unauthorized manner;
- Interfere with platform operations;
- Create fraudulent transactions; or
- Attempt to bypass security or commercial controls.
54. No Guarantee of Sales
WOWOOOCART does not guarantee minimum sales, profits, customer traffic, search ranking, advertising results or continued availability of any particular marketplace feature.
55. Logistics
WOWOOOCART may arrange delivery through third-party logistics/courier partners.
General delivery timelines may vary by location, product, courier, weather, operational conditions and other factors.
The Seller shall cooperate with pickup, packaging, tracking, return and delivery processes.
56. Force Majeure
WOWOOOCART shall not be responsible for delay or inability to perform caused by events beyond reasonable control, including natural disasters, war, civil disturbance, governmental restrictions, strikes, epidemics, major network failures, logistics disruption or other force majeure events.
Seller obligations relating to product legality, authenticity and customer remedies shall continue to the extent required by law.
57. Fair and Ethical Customer Practices
The Seller shall not engage in unfair trade practices, deceptive advertising, discriminatory or abusive customer conduct, fake reviews, misleading claims, hidden charges or other unlawful customer practices.
58. Compliance with WOWOOOCART Policies
The Seller agrees to comply with all applicable WOWOOOCART policies and commercial terms, including:
- Terms & Conditions;
- Privacy Policy;
- Shipping & Delivery Policy;
- Returns, Replacement & Refund Policy;
- Seller Commission, Payment Settlement & Payout Policy;
- Seller Code of Conduct & Seller Performance Policy;
- Grievance Redressal Policy; and
- Other seller instructions or policies communicated by WOWOOOCART from time to time.
If there is a conflict, applicable law shall prevail.
59. Policy and Commercial Changes
WOWOOOCART may update these Seller Terms, operational procedures, commercial terms, commission structures or marketplace features from time to time.
Material changes may be communicated through the Seller Dashboard, website, email or other appropriate means.
Continued use of the Seller account after the effective date of an update constitutes acceptance, subject to applicable law.
60. Governing Law and Jurisdiction
These Seller Terms shall be governed by the laws of India.
Any dispute shall be subject to the jurisdiction of the competent courts, tribunals, commissions or authorities having jurisdiction under applicable law, including the appropriate jurisdiction connected with WOWOOOCART’s place of business where legally permissible.
61. Severability
If any provision of these Seller Terms is held invalid or unenforceable, the remaining provisions shall continue to the extent permitted by law.
62. Waiver
Failure by WOWOOOCART to enforce any provision immediately shall not constitute a waiver of its right to enforce that provision later.
63. Entire Agreement
These Seller Terms, together with applicable WOWOOOCART policies, commercial terms, Seller Dashboard terms and written seller-specific arrangements, constitute the governing framework for the Seller’s use of the marketplace, subject to applicable law.
64. Seller Acknowledgement
By registering, listing products, accepting orders or continuing to use WOWOOOCART, the Seller confirms that:
- The information provided is accurate;
- Products offered are genuine and lawful;
- Required licences and approvals are maintained;
- The Seller will comply with applicable laws;
- The Seller accepts applicable commissions and charges;
- The Seller will protect customer information;
- The Seller will fulfil orders responsibly; and
- The Seller will comply with these Seller Terms and applicable WOWOOOCART policies.

66. Final Seller Commitment
By using the WOWOOOCART Seller platform, the Seller agrees to operate honestly, lawfully and responsibly and to maintain the quality, authenticity, accuracy and fulfilment standards expected by WOWOOOCART and its customers.
WOWOOOCART reserves all rights available to it under applicable law and these Seller Terms.
