Welcome to WOWOOOCART, an online multi-vendor e-commerce marketplace operated by SHREE SHYAMA SHYAM INDUSTRIES INDIA.

These Terms & Conditions (“Terms”, “Terms and Conditions”) govern your access to and use of the WOWOOOCART website, mobile services, marketplace services and related facilities available through wowooocart.com (“Website”, “Platform”, “WOWOOOCART”, “we”, “us” or “our”).

By accessing, browsing, registering on, purchasing from, selling through, or otherwise using the Platform, you acknowledge that you have read, understood and agreed to be bound by these Terms and our other applicable policies, including our Privacy Policy, Shipping Policy and Returns & Refunds Policy.

If you do not agree with these Terms, please do not use the Platform.

1. ABOUT WOWOOOCART

WOWOOOCART is a multi-vendor online marketplace that enables customers to discover, purchase and receive products offered by:

WOWOOOCART itself; and/or
Independent third-party sellers, vendors, manufacturers, traders, brands, MSMEs and other businesses registered on the Platform.

WOWOOOCART may therefore act either as a seller of products offered by us or as a marketplace facilitator connecting customers with independent sellers.

Unless specifically stated otherwise on a product page, the seller responsible for supplying a product will be identified through the relevant product, seller or order information.

2. ELIGIBILITY

By using the Platform, you represent that:

You are legally competent to enter into a binding contract under applicable law.
The information provided by you is accurate, complete and current.
You will use the Platform only for lawful purposes.
You will not use the Platform for fraudulent, abusive, unlawful or unauthorized activities.

If you are using the Platform on behalf of a business or organization, you represent that you are authorized to accept these Terms on its behalf.

3. USER ACCOUNT AND REGISTRATION

Certain features may require you to create an account.

You are responsible for:

Providing accurate registration information.
Maintaining the confidentiality of your login credentials.
Keeping your account information updated.
All activities carried out through your account.
Immediately informing WOWOOOCART if you suspect unauthorized access to your account.

WOWOOOCART reserves the right to suspend, restrict or terminate accounts that contain false information or are used in violation of these Terms or applicable law.

4. CUSTOMER ORDERS

When you place an order through WOWOOOCART, you are making a request to purchase the selected product(s) from the applicable seller.

An order shall be considered accepted only when the order is confirmed by WOWOOOCART or the relevant seller, as applicable.

WOWOOOCART or the seller may cancel or decline an order where permitted by applicable law, including circumstances such as:

Product unavailability.
Incorrect pricing or product information.
Suspected fraudulent activity.
Payment failure.
Delivery restrictions.
Technical or system errors.
Violation of applicable policies.

If an order is cancelled after payment has been received, the applicable amount will be refunded according to the Refund Policy and applicable law.

5. PRODUCT INFORMATION

We make reasonable efforts to ensure that product descriptions, images, specifications, prices and other information displayed on the Platform are accurate.

However:

Product colours may vary depending on the customer’s screen or device.
Product images may be for illustrative purposes where specifically indicated.
Minor variations may occur between displayed information and the actual product.
Product specifications may be updated by the relevant seller or manufacturer.

Third-party sellers are responsible for ensuring that the information supplied by them regarding their products is accurate, lawful and not misleading.

WOWOOOCART may remove, edit, restrict or disable product listings that violate applicable law or Platform policies.

6. PRICES, TAXES AND CHARGES

All prices displayed on the Platform are subject to change without prior notice, except where prohibited by law.

Applicable taxes, including GST where applicable, may be included in or added to the displayed price as required by law.

Shipping, handling or other applicable charges will be displayed where applicable before completion of the order.

In the event of an obvious technical, typographical or pricing error, WOWOOOCART or the applicable seller reserves the right to correct the error and, where appropriate, cancel the affected order and refund any amount already paid.

7. PAYMENT

WOWOOOCART may provide or facilitate payment through third-party payment service providers and other permitted payment methods.

Available payment methods may include, depending on availability:

Credit/Debit Cards
UPI
Net Banking
Wallets
Other payment methods displayed on the Platform

You agree to provide valid payment information and authorize the applicable payment provider to process your transaction.

WOWOOOCART does not store sensitive payment credentials such as full card numbers or banking passwords except to the extent permitted and required for lawful payment processing and security purposes.

Payment transactions may be subject to the terms and privacy policies of the relevant payment service provider.

8. SHIPPING AND DELIVERY

Delivery timelines displayed on the Platform are estimates and may vary depending on:

Seller location.
Customer location.
Product availability.
Courier or logistics service.
Weather and natural events.
Government restrictions.
Public holidays.
Force majeure events.
Other circumstances beyond reasonable control.

The seller and/or logistics partner may be responsible for dispatch and delivery of products, depending on the applicable order arrangement.

WOWOOOCART will make reasonable efforts to facilitate delivery but does not guarantee that every order will be delivered within a particular estimated timeframe.

9. RETURNS, REPLACEMENTS AND REFUNDS

Returns, replacements and refunds shall be governed by the applicable Returns & Refunds Policy displayed on the Platform.

Eligibility may depend upon:

Product category.
Seller policy.
Reason for return.
Condition of the product.
Time period for raising the request.
Applicable manufacturer warranty.
Applicable law.

Customers may be required to provide photographs, videos, order information or other reasonable evidence in cases involving damaged, defective, incorrect or incomplete products.

WOWOOOCART and/or the applicable seller may reject a return request where the request does not satisfy the applicable return conditions or where rejection is permitted by applicable law.

Nothing in these Terms shall restrict any statutory consumer rights that cannot lawfully be excluded.

10. DAMAGED, DEFECTIVE OR WRONG PRODUCTS

If a customer receives a product that is damaged, defective, materially different from the product ordered, or incomplete, the customer should report the issue through the prescribed WOWOOOCART support or return process within the applicable time period.

Customers should retain:

Original packaging, where possible.
Product and accessories.
Invoice/order details.
Shipping labels.
Photographs or videos showing the issue.

The resolution may include replacement, repair, refund or another remedy, depending upon the circumstances, seller policy and applicable law.

11. THIRD-PARTY SELLERS / VENDORS

WOWOOOCART permits eligible third-party sellers to create selling accounts and offer products through the Platform.

Each seller is responsible for:

Providing accurate business and contact information.
Providing legally required seller information.
Providing accurate product descriptions and specifications.
Selling genuine and lawful products.
Maintaining required licences, registrations and approvals.
Complying with GST, taxation, consumer protection and other applicable laws.
Maintaining appropriate inventory information.
Processing and dispatching orders within the required timeframe.
Providing applicable invoices.
Honouring valid return, replacement, warranty and refund obligations.
Not selling prohibited, counterfeit, unsafe or unlawful products.
Responding to customer complaints and support requests.
Complying with WOWOOOCART seller policies and agreements.

WOWOOOCART may request documents, information or verification from sellers before or after allowing them to sell on the Platform.

12. SELLER REPRESENTATIONS AND WARRANTIES

By registering as a seller, the seller represents and warrants that:

The seller has the legal right to sell the listed products.
The products comply with applicable Indian laws and regulations.
Product descriptions and claims are truthful and not misleading.
The seller owns or has the necessary rights to use product images, trademarks, descriptions and other content uploaded to the Platform.
Products do not infringe any third-party intellectual property rights.
The seller will not manipulate prices, ratings, reviews or orders.
The seller will not engage in fraudulent transactions or self-purchases intended to manipulate Platform performance.
The seller will comply with all applicable consumer protection requirements.

A seller may be required to indemnify WOWOOOCART for losses arising from the seller’s unlawful acts, misleading listings, counterfeit products, intellectual property violations or breach of applicable law.

13. PROHIBITED PRODUCTS AND ACTIVITIES

Sellers shall not list, promote, sell or distribute products or services that are prohibited by applicable law or WOWOOOCART policies.

This may include, without limitation:

Counterfeit or fake products.
Stolen goods.
Illegal drugs or controlled substances.
Illegal weapons or prohibited items.
Products infringing intellectual property rights.
Fraudulent or misleading products.
Unsafe or unlawfully restricted products.
Products requiring mandatory licences or approvals where such requirements have not been satisfied.
Any other product or service prohibited under applicable law.

WOWOOOCART may immediately remove or restrict listings and may suspend or terminate seller accounts where violations are suspected or established.

14. SELLER FEES AND PAYOUTS

WOWOOOCART may charge sellers commissions, subscription fees, transaction fees, payment processing charges, logistics charges, promotional charges or other applicable fees as communicated through the seller dashboard, seller agreement or applicable Platform policy.

Seller payouts may be subject to:

Successful completion of orders.
Applicable return/refund periods.
Deductions permitted under the seller agreement.
Applicable taxes.
Payment gateway charges.
Platform fees.
Adjustments arising from cancellations, refunds, returns, chargebacks or disputes.

WOWOOOCART may temporarily hold or adjust seller payouts where reasonably necessary to address fraud, disputes, returns, chargebacks, regulatory requirements or other legitimate business reasons.

15. CUSTOMER REVIEWS AND USER CONTENT

Customers and users may be permitted to submit reviews, ratings, comments, photographs or other content.

You agree that such content:

Must be truthful and based on your genuine experience.
Must not be defamatory, abusive, threatening or unlawful.
Must not contain personal or confidential information belonging to another person.
Must not infringe copyright, trademark, privacy or other rights.
Must not contain malicious code, spam or fraudulent content.

WOWOOOCART may remove or restrict content that violates these Terms or applicable law.

By submitting content to the Platform, you grant WOWOOOCART a non-exclusive, royalty-free, worldwide licence to use, reproduce, display and distribute that content for operating, promoting and improving the Platform, subject to applicable law.

16. INTELLECTUAL PROPERTY

All intellectual property relating to WOWOOOCART, including but not limited to:

Website design.
WOWOOOCART name and branding.
Logos.
Graphics.
Software.
Text.
Layout.
Website features.
Original photographs and promotional material.

is owned by or licensed to WOWOOOCART and/or its respective rights holders.

You may not reproduce, copy, modify, distribute, sell, publish, reverse engineer or commercially exploit any part of the Platform without prior written permission, except as permitted by applicable law.

Product names, trademarks and logos belonging to third-party sellers or manufacturers remain the property of their respective owners.

17. ACCEPTABLE USE

You agree not to:

Use the Platform for unlawful purposes.
Attempt unauthorized access to the Platform or another user’s account.
Introduce viruses, malware or harmful code.
Interfere with Platform security.
Scrape or systematically copy Platform content without permission.
Create fraudulent accounts.
Manipulate reviews, ratings or sales.
Use stolen payment methods.
Place fraudulent or abusive orders.
Impersonate another person or business.
Use the Platform to distribute unlawful or harmful content.
Circumvent Platform security or technical restrictions.

WOWOOOCART may take appropriate action against accounts involved in such activities.

18. ACCOUNT SUSPENSION OR TERMINATION

WOWOOOCART may suspend, restrict or terminate a customer or seller account where reasonably necessary, including where:

These Terms are violated.
False or misleading information is provided.
Fraudulent activity is suspected.
Applicable law is violated.
Platform security is threatened.
A seller repeatedly fails to fulfil orders.
A seller lists prohibited or counterfeit products.
A user abuses the return/refund system.
The account is used for unlawful or unauthorized activities.

Where appropriate and legally required, the affected user may be provided an opportunity to address the relevant issue.

Termination does not affect rights or obligations that arose before termination.

19. MARKETPLACE ROLE AND THIRD-PARTY SELLER RESPONSIBILITY

For products sold by independent third-party sellers, WOWOOOCART operates as a marketplace/facilitator connecting buyers and sellers.

The relevant seller remains responsible for its product listings, product quality, legality, authenticity, warranties, fulfilment and other seller obligations, subject to applicable law.

WOWOOOCART may provide platform, payment facilitation, customer support, logistics coordination and other marketplace services, depending upon the order and applicable arrangement.

Nothing in these Terms is intended to exclude or restrict any liability or consumer right that cannot legally be excluded or restricted.

20. THIRD-PARTY SERVICES AND LINKS

The Platform may contain links, integrations or services provided by third parties, including payment gateways, logistics providers, technology providers and other service partners.

WOWOOOCART is not responsible for the independent policies, content, security practices or availability of third-party websites or services.

Your use of third-party services may be subject to their respective terms and policies.

21. PRIVACY AND PERSONAL DATA

Your use of the Platform is also governed by our Privacy Policy.

WOWOOOCART may collect and process information necessary to:

Create and manage accounts.
Process orders.
Facilitate payments.
Deliver products.
Provide customer support.
Prevent fraud.
Improve Platform services.
Comply with legal obligations.

22. ELECTRONIC COMMUNICATIONS

23. DISCLAIMERS

To the maximum extent permitted by applicable law, WOWOOOCART does not guarantee that:

The Platform will always be available without interruption.
The Platform will always be free from technical errors.
Product information supplied by independent sellers will always be error-free.
Every seller or product will remain available.
Delivery will occur within a particular estimated period.

WOWOOOCART will, however, make reasonable efforts to maintain the Platform and provide a reliable marketplace experience.

Nothing in these Terms excludes liability that cannot lawfully be excluded under applicable law.

24. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, WOWOOOCART shall not be responsible for indirect, incidental, special or consequential losses arising from:

Use or inability to use the Platform.
Actions or omissions of independent sellers.
Delays caused by third-party logistics providers.
Events beyond reasonable control.
Unauthorized activities of third parties.
Information supplied by independent sellers.

Where liability cannot legally be excluded, it shall be limited to the extent permitted by applicable law.

Nothing in these Terms limits any statutory rights or remedies available to consumers under applicable law.

25. INDEMNIFICATION

To the extent permitted by applicable law, a user or seller agrees to indemnify and hold harmless WOWOOOCART, SHREE SHYAMA SHYAM INDUSTRIES INDIA, its owners, employees, representatives, service providers and affiliates from claims, losses, liabilities, damages, costs and expenses arising from:

Breach of these Terms.
Fraudulent or unlawful activities.
Violation of third-party rights.
Intellectual property infringement.
Misleading product information supplied by a seller.
Sale of prohibited or unlawful products.
Violation of applicable law.

This clause shall not apply to the extent that the relevant loss is caused by the negligence or unlawful conduct of WOWOOOCART.

26. FORCE MAJEURE

WOWOOOCART shall not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:

Natural disasters.
Floods.
Fire.
Earthquakes.
Epidemics or pandemics.
War.
Riots or civil unrest.
Government restrictions.
Strikes.
Internet or telecommunications failures.
Power failures.
Logistics disruptions.
Cyber incidents beyond reasonable control.
Other events of force majeure.

27. CHANGES TO THESE TERMS

WOWOOOCART may update or modify these Terms from time to time to reflect:

Changes in law.
Changes in Platform services.
Changes in business operations.
Security requirements.
Regulatory requirements.
Improvements to the marketplace.

The updated version will be published on the Platform with an updated Effective Date.

Your continued use of the Platform after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

28. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of India.

Subject to applicable consumer protection laws and other mandatory legal provisions, disputes relating to these Terms or use of the Platform shall be subject to the jurisdiction of the competent courts having jurisdiction over the principal place of business of SHREE SHYAMA SHYAM INDUSTRIES INDIA.

Nothing in this clause prevents a consumer from exercising any statutory right to approach a competent consumer commission or other authority having jurisdiction under applicable law.

30. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful or unenforceable by a competent authority, that provision shall be modified or removed to the minimum extent necessary, while the remaining provisions shall continue to remain valid and enforceable.

31. WAIVER

Failure by WOWOOOCART to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision later.

32. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Shipping Policy, Returns & Refunds Policy, Seller Terms/Agreement and other applicable Platform policies, constitute the terms governing your use of WOWOOOCART, subject to any specific agreement applicable to a particular transaction or seller relationship.
